By accessing or using the IronFoundry website (ironfoundry.app) and any related services, including SimpliBid (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use our Services. These Terms constitute a legally binding agreement between you and IronFoundry.

2. Eligibility

Our Services are intended for use by businesses and professionals in the equipment industry. By using our Services, you represent that you are at least 18 years of age, have the legal authority to enter into these Terms, and are acting in a business capacity. Access to SimpliBid and other platform features may require approval through our application process.

3. Account and Access

Certain features of our Services may require you to apply for access or create an account. When applying or registering, you agree to:

• Maintain and promptly update your information as needed
• Maintain the security and confidentiality of your account credentials
• Accept responsibility for all activity that occurs under your account

• Submit false or misleading information in applications, listings, or communications
• Interfere with or disrupt the operation of the Services or servers
• Attempt to gain unauthorized access to any part of the Services
• Scrape, harvest, or collect data from our Services without written permission
• Use the Services to transmit spam, malware, or other harmful content
• Circumvent any access controls, vetting processes, or security measures

5. Transactions

IronFoundry platforms, including SimpliBid, facilitate connections and transactions between equipment buyers and sellers. IronFoundry is not a party to any transaction between users unless explicitly stated. We do not guarantee the condition, quality, legality, or accuracy of any equipment listed on our platforms. Users are responsible for conducting their own due diligence before completing any transaction. All transactions are subject to additional terms that may be presented at the time of the transaction.

6. Intellectual Property

All content, features, and functionality of the Services — including but not limited to text, graphics, logos, icons, images, software, and the overall design and arrangement — are the exclusive property of IronFoundry or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content on our Services without our prior written consent.

7. User Content

By submitting content to our Services (including equipment listings, condition reports, images, and communications), you grant IronFoundry a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute that content in connection with operating and improving our Services. You represent that you have the right to submit such content and that it does not violate any third-party rights.

8. Disclaimer of Warranties

The Services are provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. IronFoundry does not warrant that the Services will be uninterrupted, error-free, or secure, or that any defects will be corrected.

9. Limitation of Liability

To the fullest extent permitted by law, IronFoundry and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Services, regardless of the theory of liability. Our total liability for any claim arising from these Terms shall not exceed the amount you paid to us, if any, in the twelve months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless IronFoundry and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

11. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, disclaimers, and limitations of liability.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts of competent jurisdiction.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the “Last updated” date. Your continued use of the Services after changes are posted constitutes acceptance of the revised Terms.
